Ironbull CRM — Terms of Service
Effective date: October 26, 2026
Last updated: October 26, 2026
These Terms of Service ("Terms") are an agreement between BP Tech LLC, a Michigan limited liability company based in Howell, Michigan ("BP Tech," "we," "us," or "our"), and the business that signs up for Ironbull CRM ("Customer," "you," or "your"). They cover your use of Ironbull CRM, the web-based software at https://crm.ironbullcrm.com and its Android apps, together with the website at https://ironbullcrm.com (the "Service").
By creating an account or using the Service for your business, you agree to these Terms. If you accept for a business, you confirm you have authority to bind it. Our Privacy Policy is part of these Terms.
Part A (Sections 1 to 19) is the agreement with the Customer. Part B (Section 20) is a short notice for people who use the Service only because a Customer gave them access, such as employees and crew members.
1. What the Service is
Ironbull CRM is business software for small trades businesses (for example lawn care, electrical, plumbing and low-voltage contractors). It includes customers and contacts, quotes with e-signature, jobs and scheduling, a time clock and crew app, invoices and online payments, purchasing, equipment, simple bookkeeping and reports, payroll-cost estimates, basic HR records, and optional connections to other services (Section 7).
Ironbull CRM is a brand of BP Tech LLC, which provides the Service. We are a small business. We do not provide payroll, tax, accounting, legal or financial services (Section 8).
2. Accounts and users
- Business use only. The Service is for businesses. Account holders must be at least 18.
- Sign-in. Users sign in with a Google account or with an email address and password. Two-step verification codes are available and we recommend them, especially for admins.
- Your users. You may invite employees and others ("Users") and give each one a role (Admin, Staff, Viewer, Field tech, or Time clock only). Each business has one protected owner. You are responsible for who you give access to, the roles you assign, and everything done under your account.
- Accurate information. Keep your account information accurate and current.
- Security. Keep sign-in details safe, and tell us right away at ppierce@ironbullcrm.com if you think someone accessed your account without permission.
3. Early access and beta
The Service is new and is being offered to a limited number of businesses as early access. Some features may be labeled beta, preview or test. Those are provided "as is," may have errors, and may change or be removed at any time. Features that depend on another company (such as Gusto, Xero or Stripe) work only while that company's service and our connection to it are available.
4. Plans, prices and add-ons
- Plans and prices. The Service is offered in plans (for example Starter, Pro and Business) with different features. The plans, their features and their prices are shown on our pricing page and at checkout, and the price you agree to at checkout is the price you pay until it changes under Section 5. Each plan includes a set number of Users; additional Users are charged per User per month as shown on the pricing page. You are charged for the number of Users on your account.
- Payroll add-on. An optional payroll add-on, at the monthly price shown on the pricing page, turns on the Gusto payroll connection (Section 7). It is not a payroll service. Exporting payroll hours as a file does not need the add-on.
- Free trial needs a card. New businesses get a free trial of 14 days. A card is required to start the trial. You enter it on Stripe's secure page before the trial begins, and nothing is charged that day. A business can't be used until a card is on file. If the card is declined or you leave the card page, no trial starts, and you can try again or use another card.
- The trial turns into a paid plan automatically. When the trial ends, your subscription starts and your card is charged the monthly price of the plan and any add-ons and additional Users you chose, unless you cancel before the trial ends. If you cancel during the trial, you are not charged.
- One trial per business. A business that has already had a trial, or a free or comped period, doesn't get another trial.
- If you cancel or your subscription ends. When a canceled trial or subscription ends, your business becomes read-only. If your account is paid up for all past months, you can still sign in, look things up and download documents and reports until your data is deleted. Your data is deleted 30 days after a free trial ends without a paid subscription, and 60 days after a paid subscription is canceled (Section 16).
- Free and promotional accounts. We may give some businesses free or discounted use, for example a free period ending on a stated date, free use with no end date, or a locked-in founding price ("Comped Accounts"). A Comped Account follows these Terms in every other way. Unless we agree otherwise in writing, we may end or change a free or discounted arrangement with at least 30 days' notice. Comped Accounts don't need a card while the free period lasts. When a free period with an end date is over, the business becomes read-only until you subscribe, and it doesn't get a free trial.
- Taxes. Prices don't include taxes. You are responsible for any sales, use or similar taxes on your subscription, and we will add them to your invoice where the law requires us to collect them.
5. Billing, renewal, cancellation and refunds
- Payments. Subscriptions are billed by Stripe, monthly in advance, by card. We never receive or store your full card number. You authorize us, through Stripe, to charge your card each month until you cancel.
- Automatic renewal. Your free trial converts to a paid subscription automatically, and the subscription then renews automatically every month, until you cancel. The Billing page shows your trial end date and next billing date at all times.
- How to cancel. Cancel anytime in the Service on the Billing page, which opens Stripe's billing portal. You can also email ppierce@ironbullcrm.com. Cancellation takes effect at the end of the month you have already paid for, or at the end of the trial if you cancel during it. After that, your business becomes read-only (Section 4).
- Refunds. Fees already paid are not refunded, including for partial months, except where the law requires a refund or in the case described in Section 15.
- Failed payments. If a payment fails, the Service shows a warning and you keep access while Stripe retries the charge. If the charge still fails after Stripe's retries (about 14 days), the subscription ends and the business becomes read-only.
- Price changes. We may change prices with at least 30 days' notice by email or in the Service. The new price applies from your next billing month after the notice period. You may cancel before then.
6. Your data
- You own your data. "Customer Data" means what you and your Users put into the Service: for example client contacts and addresses, quotes, signatures, invoices, payments, expenses, time entries, location stamps, employee pay and HR records, vendor details, files and photos. As between you and BP Tech, you own it.
- Our limited permission. You let BP Tech host, store, copy, send and process Customer Data only to provide, secure, back up and support the Service, to follow the law, and as described in the Privacy Policy. We don't sell Customer Data or use it for advertising.
- Separation and support access. Each Customer's data is kept separate from every other Customer's, and the database itself enforces that separation. BP Tech staff can open your business in the Service only if your admin turns on support access in Settings (for 24 hours, 7 days, 30 days, or until turned off). Every page they open is recorded in your activity log. Platform administrators can see a short list of account details for every Customer (business name, owner email, sign-up date, user count, plan and billing status), and can pause an account.
- Server administration. The people and tools that run our server (see the Privacy Policy, Section 7) have technical access to the systems that store Customer Data. They use it only to operate, maintain, secure, back up and fix the Service.
- Downloads while you are a customer. You can download quotes, invoices and other documents as PDFs, finance reports and payroll hours as CSV files, a year-end tax packet, and a QuickBooks export file. A complete export of your business (all records as CSV and JSON files, plus your uploaded files) is prepared by us on request. Email ppierce@ironbullcrm.com and we will send it within 10 business days.
- Backups. We make encrypted backups, kept on our server and off-site with a cloud storage provider. They are for our disaster recovery, not a replacement for your own records. See the Privacy Policy for how long they are kept. We may, but don't have to, restore your data from a backup on request.
7. Connections to other services
The Service can connect to services run by other companies. Each one is your own relationship with that company, under its own terms, and you turn it on yourself.
- Gusto (payroll). With the payroll add-on, you can connect your own Gusto account. The Service then reads your Gusto employee and contractor list, sends approved hours to Gusto, and can send contractor payment amounts to Gusto. Gusto, not BP Tech, runs your payroll: it calculates paychecks and taxes, moves money, and files payroll taxes under your agreement with Gusto. Before you run payroll in Gusto, check the hours and amounts that were sent. BP Tech is not responsible for Gusto's service or for payroll run on hours you approved.
- Xero (accounting). You can connect your own Xero account. The Service then sends your clients' names and contact details, invoices with tax, and payments to it. Check the account codes and tax settings in Xero. Some items, such as refunds and write-offs, have to be entered by hand.
- QuickBooks. The Service creates an export file for you to import into QuickBooks yourself. There is no live connection to QuickBooks.
- Stripe (your customers' payments). If you turn on online payments, you connect your own Stripe account and accept Stripe's agreement for connected accounts. Your clients pay on Stripe's page, and the money goes to your Stripe account. BP Tech is not a party to those payments and charges no fee on them; Stripe's own fees apply under your agreement with Stripe. Refunds, disputes and chargebacks are between you, your client and Stripe.
- Google. Google sign-in is optional. The Service asks Google only for your name, email address and profile picture, and does not store the picture.
8. Your figures are estimates. We are not your accountant, tax preparer or payroll provider.
The Service calculates things like invoice totals, deposits, retainage, sales tax, job costs and profit, payroll-cost and tax estimates, mileage, depreciation and 1099 amounts, using the information and settings you enter. These are tools, not tax, legal, accounting, payroll or financial advice.
- You are responsible for the prices, tax rates and tax settings you choose, and for every quote and invoice you send to your clients, including the sales tax on it. Review documents before you send them.
- You are responsible for your tax returns, payroll, withholding, payments to government agencies, filings and deadlines.
- Tax rules change, and calculations can be wrong or incomplete. Check important figures with a qualified accountant or tax professional before you rely on them.
- BP Tech is not responsible for penalties, interest, back taxes, or amounts you under-billed or over-billed because of figures from the Service, to the extent the law allows (see Sections 16 and 17).
9. Employees, time clock and location
You are the employer. BP Tech only provides the software.
- Employee data. If you keep employee information in the Service (pay rates, W-4 choices, time off, certifications, applicants, onboarding documents, termination records), you are responsible for collecting it lawfully, telling your employees about it, limiting who in your business can see it, and keeping or deleting it as employment and tax laws require.
- New-hire forms and sensitive numbers. If you use the online new-hire forms (such as the W-4 and I-9), your employees enter their Social Security numbers, and may enter bank and ID numbers, on those forms. The answers and completed forms are encrypted before they are stored, only your admins and the employee can open them, and every time a completed form is opened it is recorded in your activity log. Outside these forms, the Service has no field for Social Security numbers and keeps only the last 4 digits of vendor tax ID numbers. Please don't upload documents containing full Social Security numbers, government ID images or bank details unless you truly need them in the Service.
- Time clock and location. The crew app can add a GPS location stamp only at the moment a worker clocks in and clocks out, never in between, and only if the worker taps "Allow" on that phone. Workers can turn it off at any time. You are responsible for any notice, consent or policy your employees need about time tracking, photos and location stamps, and for following wage-and-hour laws.
- Accurate time. You can choose to require timesheet approval in Settings. Either way, you are responsible for making sure time is accurate before you use it for billing or payroll.
10. Messages you send to your clients
The Service sends email for you (quotes, invoices and change orders, and automatic invoice and quote reminders if you turn them on) from our email provider. You are responsible for the content of those messages and for having the right to email the people you send to. The Service does not send text messages (SMS). If text messaging is added later, we will update these Terms before it is offered.
Your clients may view and sign quotes and pay invoices through secure links. When a client signs, the Service records the signature image, name, time, IP address, and a fingerprint of the exact quote they agreed to. You are responsible for your own terms on quotes and for any e-signature rules that apply to your business.
11. Acceptable use
You agree not to, and not to let anyone else:
- Use the Service for anything illegal, fraudulent or harmful
- Send spam, or send messages without the consent the law requires
- Upload content that infringes others' rights, or that is unlawful, defamatory or malicious
- Upload viruses or other harmful code
- Try to get into other Customers' data or any part of the Service you aren't allowed to use
- Probe, scan or test the security of the Service, or get around its security or access controls, without our written permission
- Overload or interfere with the Service, including by automated scraping or excessive requests
- Copy, modify, reverse engineer or make derivative works of the Service, except as the law allows
- Resell the Service, or run it as a service bureau for others, unless we agree in writing
- Use the Service to build a competing product
We may investigate violations and act on them, including removing content or suspending accounts.
12. Availability and support
- Best effort, no SLA. We work to keep the Service available and reliable, but we do not promise any particular uptime, and there is no service level agreement or service credit. The Service runs on a single server, so it can be unavailable during updates (usually a minute or two), maintenance, internet or provider outages, hardware problems, or events beyond our control.
- Support. Support is by email at ppierce@ironbullcrm.com, on weekdays from 9 AM to 5 PM Eastern time, except U.S. holidays. We don't guarantee response times.
- Changes. We may add, change or remove features. If we remove a feature that matters to how you use the Service, we will try to give reasonable notice.
13. Security and data breaches
We use reasonable safeguards, described in the Privacy Policy. No system is perfectly secure. If we confirm a security breach that affects your Customer Data, we will tell your account owner by email within 72 hours of confirming it. We will explain what we know and what we are doing about it, and help you meet any notice duties you have to your own clients or employees.
14. Intellectual property
- Ours. BP Tech owns the Service, including its software and design (but not Customer Data). While you are subscribed and pay any fees due, you may use the Service for your internal business purposes. This right is limited, non-exclusive and non-transferable.
- Yours. You keep all rights in your Customer Data, business name and logos. You let us show your logo on documents you create in the Service.
- Feedback. We may use suggestions you send us without any obligation to you.
15. Ending the agreement
- By you. Cancel anytime (Section 5).
- By us. We may suspend or end your account (a) if you seriously break these Terms, including not paying, and don't fix it within 10 days after we tell you; (b) right away if needed to prevent harm to the Service, other Customers or others, or to follow the law; or (c) for any reason with at least 30 days' notice. If we end your account under (c), we will refund prepaid fees for the unused part of the month.
- Survival. Sections that by their nature should continue after the agreement ends will continue, including fees owed and Sections 8, 14, and 16 to 19.
16. Your data after the account ends
- Read-only, then deleted. When a trial or subscription ends, the business becomes read-only. If a free trial ends without a paid subscription, we delete its Customer Data 30 days after the trial ends. If a paid subscription is canceled, we delete its Customer Data 60 days after the cancellation takes effect.
- Paid up to view or export. To view or export your data after a trial or subscription ends, your account must be paid up for all past months.
- Export. Ask for a complete export before your data is deleted (Section 6). We will send it within 10 business days.
- Deletion. Email ppierce@ironbullcrm.com from the account owner's address to ask us to delete your business. We will confirm the request with you and delete your Customer Data from the live system within 30 days. Before deleting, we make a final export as a safety copy, and we delete that safety copy within 30 days unless you ask us to keep it longer. Encrypted backups made before the deletion expire on the schedule in the Privacy Policy. We may keep limited records the law requires or that we need for billing and disputes.
17. Disclaimer of warranties
TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." BP TECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DATA WILL NOT BE LOST, OR THAT CALCULATIONS OR OUTPUTS (INCLUDING INVOICE, SALES TAX, PAYROLL AND OTHER FINANCIAL FIGURES, AND DATA SENT TO GUSTO OR XERO) WILL BE ACCURATE OR COMPLETE.
18. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS:
- NO INDIRECT DAMAGES. NEITHER BP TECH NOR ITS MEMBERS, MANAGERS, EMPLOYEES OR CONTRACTORS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, OR FOR TAX PENALTIES OR INTEREST, EVEN IF TOLD SUCH DAMAGES WERE POSSIBLE.
- CAP. BP TECH'S TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICE OR THESE TERMS WILL NOT BE MORE THAN THE GREATER OF (A) THE FEES YOU PAID BP TECH IN THE 12 MONTHS BEFORE THE EVENT THAT CAUSED THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limits apply whatever the legal theory, and even if a remedy fails of its essential purpose.
Indemnification. You will defend and pay for claims against BP Tech and its members, managers, employees and contractors (including reasonable attorneys' fees) that come from: (a) your Customer Data, including any claim that you lacked the rights, notices or consents needed for it; (b) your or your Users' use of the Service against these Terms or the law; (c) messages and documents you send to your clients or others; or (d) your taxes, payroll, employment practices or other business obligations.
19. General
- Changes to these Terms. If we make important changes, we will tell account owners by email or in the Service at least 30 days before they take effect, and ask Users to accept the new version. If you don't agree, you may cancel before the changes take effect.
- Governing law and courts. Michigan law governs these Terms, without regard to conflict-of-laws rules. Disputes will be brought only in the state courts in Livingston County, Michigan, or, where federal jurisdiction exists, the U.S. District Court for the Eastern District of Michigan, and each party consents to those courts. Either party may bring a claim within its limits in small claims court.
- Entire agreement. These Terms, the Privacy Policy and any plan details accepted at sign-up are the whole agreement about the Service.
- Assignment. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition or sale of assets. This includes assigning them to a company that is affiliated with BP Tech LLC.
- Severability, no waiver, force majeure. If part of these Terms can't be enforced, the rest still applies. Not enforcing a provision isn't a waiver of it. Neither party is responsible for delays caused by events beyond its reasonable control, except for payment obligations.
- Notices and electronic communications. We send notices to the account owner's email or in the Service. Electronic notices and agreements count as "in writing."
- Independent parties. These Terms don't create a partnership, joint venture or employment relationship.
- Contact. BP Tech LLC, 1408 Fieldview Trail, Howell, MI 48843. Email: ppierce@ironbullcrm.com
20. Part B — Notice for employees and other Users
This part is for you if you use Ironbull CRM because a business (your "Employer") gave you access, for example as an employee, field tech or crew member. You are not a party to Part A; your Employer is our customer.
- Your Employer controls the account. Your Employer decides what you can see and do, and owns the information in its account, including your time entries, location stamps, photos and HR records. Questions about that information, or requests to see, correct or delete it, go to your Employer first.
- Location. The crew app adds a GPS stamp only when you clock in or out, and only if you allow it on your phone. You can turn it off at any time.
- Use it properly. Use the Service only for your Employer's work. Keep your sign-in private, and don't share your password or two-step codes. Don't try to see information you weren't given access to, and follow the acceptable use rules in Section 11.
- Privacy. Our Privacy Policy explains what BP Tech does with your sign-in details.
- No warranty to you. BP Tech provides the Service to your Employer. To the extent the law allows, BP Tech makes no promises to you personally about it.
